高管变更、政治关联与被并购企业绩效——基于美的集团三次并购的研究

摘  要: 本文以美的集团的三次并购为研究样本,通过访谈、收集二手资料等多种方式收集资料,运用内容分析和数据编码等多种方法进行案例分析,并使用三角验证和多种数据来源和证据链等方法保证研究的效度和信度,构建了包括高管变更频度、高管变更范围、新CEO的专业背景相似度、政治关联、并购相关性和并购区域特征等因素在内的影响被并购企业整合绩效的理论模型,并提出了相关研究命题. Taking three acquisitions of Midea Group as the study samples, this paper collected data through interviews, secondary sources and other approaches, used content analysis, data encoding and other methods for case analysis, and also used triangulation, a variety of data sources, evidence chains and other methods to ensure the validity and reliability of the study. It construc- ted a theoretical model of the factors affecting the integration performance of merged company, including the rate and scope of top management turnover, the similarity of the new CEO's professional background, political connection, and the relativity and regional characteristics of the acquisitions. Related research propositions were made in the end.
